PAY-AS-YOU-GO IOT SIM SERVICES TERMS AND CONDITIONS

Preamble: These Terms and Conditions apply to the provision and use of IoT SIM, eSIM, connectivity and related services supplied by the Supplier. Unless the context otherwise requires, the Definitions in Section 1 shall apply throughout these Terms and Conditions.

  1. Supplier: IoTie Connect Ltd, a company incorporated and existing under the laws of the United Kingdon , with company number 13953915 and registered office at Eden House, Two Rivers Business Park, Witney, Oxfordshire, England, OX28 4BL (the “Supplier”); and
  2. Customer: A company or individual who orders a PAYG SIM via the www.iotie.com website (the “Customer”).

WHEREAS:

  • The Supplier is duly authorised to provide mobile Internet-of-Things connectivity services within the United Kingdom and internationally; and
  • The Customer wishes to obtain such services from the Supplier on a pay‑as‑you‑go basis under the terms of this Terms and Conditions.

NOW IT IS HEREBY AGREED AS FOLLOWS:


1. Definitions

In this Terms and Conditions:

  • “Service” means the provision of IoT and M2M mobile connectivity services, including SIM cards, eSIM profiles, data sessions, SMS and optional voice functionality, delivered on a pay‑as‑you‑go basis.
  • “SIM” means any physical SIM, embedded SIM (eSIM), or equivalent form factor capable of authenticating onto mobile networks.
  • “Activation” refers to the point at which a SIM or eSIM is enabled to access mobile networks.
  • “Fair Use Policy” means the Supplier’s usage limitations as set out in clause 6.
  • “Personal Data” has the meaning given under the UK GDPR and Data Protection Act 2018.
  • “Multi‑IMSI Provisioning” means the technical capability of a SIM or eSIM to utilise multiple International Mobile Subscriber Identities for enhanced roaming or resilience.

2. Term

2.1 This Terms and Conditions shall commence on the Effective Date and shall continue in full force and effect unless and until terminated in accordance with clause 11.

2.2 Individual SIMs may be activated or deactivated at the Customer’s discretion. Charges shall accrue from the moment of Activation.


3. Services Provided

3.1 The Supplier shall provide access to the following Services:

  • Provisioning of physical SIMs and/or eSIM profiles;
  • Mobile data connectivity via the Supplier’s authorised APNs;
  • SMS services and optional voice functionality (where contractually enabled);
  • SIM lifecycle management (activation, suspension, termination, and related administrative functions);
  • Access to a management portal for monitoring, configuration and billing information.

3.2 Service coverage is dependent on the geographic availability, operational stability and performance of domestic and international mobile network operators. The Supplier shall exercise reasonable skill and care in providing accurate coverage information but does not warrant uninterrupted or error‑free connectivity.

3.3 eSIM and Multi‑IMSI Roaming Provisioning

  • The Supplier may provide eSIM profiles and, where technically feasible, multi‑IMSI capabilities that enable automatic or manual network selection for improved resilience, roaming performance and service continuity.
  • The Customer acknowledges that roaming, multi‑IMSI selection and operator availability are impacted by third‑party agreements and regulatory constraints. Accordingly, the Supplier provides no guarantee of uninterrupted roaming or permanent availability of any specific IMSI or operator.
  • Distinct tariff structures may apply to roaming, eSIM provisioning or multi‑IMSI usage. Such tariffs shall be notified to the Customer in advance of Activation.

4. Charges and Payment

4.1 The applicable pay-as-you-go charges for data, SMS, voice (where enabled), SIM supply, eSIM provisioning and any recurring fees shall be as published and periodically updated on the Supplier’s online portal (the “Portal”). The pricing displayed on the Portal shall constitute the authoritative and binding tariff structure for the purposes of this Terms and Conditions.

4.2 The Customer shall maintain a positive account balance or such minimum top-up amount as the Supplier may reasonably require.

4.3 The Supplier shall provide not less than thirty (30) days’ written notice, via the Portal or by electronic communication, prior to implementing any changes to the pricing displayed on the Portal. Updated pricing shall not apply retroactively and shall take effect only after the notice period has elapsed.

4.4 The Supplier shall issue invoices monthly in arrears unless otherwise agreed. All invoices are due and payable within thirty (30) days of the invoice date.

4.4 All sums payable are exclusive of VAT and any other applicable taxes.

4.5 PAYG balances are non‑refundable except to the extent required by law.


5. Activation, Suspension and Termination of SIMs

5.1 The Supplier shall activate SIMs or eSIM profiles within a reasonable period following a valid request.

5.2 The Supplier may suspend Service, acting reasonably, where:

  • The Customer is in material breach of this Terms and Conditions;
  • Usage is inconsistent with the Fair Use Policy;
  • Payments are overdue by more than fourteen (14) days;
  • Illegal, fraudulent or network‑abusive activity is detected.

5.3 Either party may request termination of any individual SIM on not less than thirty (30) days’ written notice, unless immediate suspension or termination is required under this clause.


6. Fair Use Policy

6.1 The Service is intended solely for IoT and M2M usage. The Customer shall not use the Service for high‑bandwidth consumer‑grade activities including, but not limited to, video streaming, peer‑to‑peer file sharing, or tethering to non‑IoT devices.

6.2 Where usage materially deviates from typical IoT traffic patterns, the Supplier may implement speed restrictions, apply supplemental charges, or temporarily suspend Service.

6.3 The Supplier shall notify the Customer of any action taken under this clause unless immediate action is reasonably required.


7. Service Levels and Support

7.1 The Supplier shall provide technical and billing support during its standard business hours.

7.2 Connectivity is provided on an “as is” basis and is reliant on third‑party network operators. The Supplier does not guarantee continuous availability.

7.3 Any service credits available under separate service level agreements shall constitute the Customer’s sole and exclusive remedy for any failure to meet applicable service targets.


8. Data Protection

8.1 Each party shall comply with all obligations imposed upon it by the UK GDPR and the Data Protection Act 2018.

8.2 The Parties shall determine whether the Supplier acts as a Processor or Controller. If acting as a Processor, the Supplier shall process Personal Data only upon documented instructions from the Customer.

8.3 The Supplier shall implement appropriate technical and organisational measures to protect Personal Data against unauthorised access, loss or alteration.

8.4 The Supplier may use anonymised or aggregated usage data for service improvement and analytical purposes.


9. Confidentiality

Each party shall keep confidential all information obtained from the other party under or in connection with this Terms and Conditions and shall not disclose such information except as permitted by law or as necessary for performance of this Terms and Conditions. This obligation shall survive termination for a period of three (3) years.


10. Liability

10.1 Nothing in this Terms and Conditions excludes liability for death or personal injury caused by negligence, fraud or any other liability that cannot lawfully be excluded.

10.2 Subject to clause 10.1, each party’s aggregate liability arising out of or in connection with this Terms and Conditions shall be limited to the total charges paid by the Customer during the twelve (12) months preceding the event giving rise to the claim.

10.3 Neither party shall be liable for any indirect, consequential or special losses, including loss of profits, revenue, business or data, except where such exclusion is prohibited by law.


11. Termination

11.1 Either party may terminate this Terms and Conditions by written notice if the other party commits a material breach and fails to remedy such breach within thirty (30) days of receiving notice.

11.2 Either party may terminate immediately if the other becomes insolvent or unable to pay its debts.

11.3 Upon termination, all outstanding charges shall become immediately payable. SIMs and eSIM profiles shall be deactivated by the Supplier.


12. Changes to Terms

12.1 The Supplier may amend or update these Terms and Conditions from time to time to reflect changes in law, industry standards, operational requirements, or service enhancements.

12.2 The Supplier shall provide not less than thirty (30) days’ notice of any material changes by publishing an updated version on the Portal or notifying the Customer electronically. Continued use of the Service after expiry of the notice period constitutes acceptance of the updated Terms and Conditions.


13. Compliance With Law and Consumer/SME Protections

13.1 The Supplier shall comply with all applicable telecommunications, data protection, export control and network security regulations.

13.2 Where the Customer qualifies as a Small Business Customer or consumer under applicable UK telecoms regulations, the Supplier shall ensure that mandatory rights and protections are observed. To the extent of any conflict, statutory rights prevail over these Terms and Conditions.

13.3 The Customer shall ensure its own use of the Service complies with all applicable laws, including but not limited to IoT device regulatory requirements, import/export rules, and local telecommunications frameworks in each jurisdiction of operation.


14. Miscellaneous

12.1 No variation of this Terms and Conditions shall be effective unless agreed in writing and signed by both parties.

12.2 The Customer shall not assign or transfer any rights or obligations under this Terms and Conditions without the Supplier’s prior written consent. The Supplier may assign its rights to an affiliated entity or in connection with a business transfer.

12.3 This Terms and Conditions constitutes the entire agreement between the parties and supersedes all prior agreements or understandings relating to its subject matter.

12.4 Use of any PAYG SIM/eSIM or Service constitutes acceptance of these Terms and Conditions.
